By creating an account, accessing, or using the AgentDeal Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, along with our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to that organization. You must be at least 18 years of age or the age of majority in your jurisdiction to use the Service.

2. Description of Service

AgentDeal is an AI-powered negotiation platform that enables users to create, manage, and conduct negotiations with the assistance of artificial intelligence agents. The Service includes features such as AI-generated negotiation strategies, alignment scoring, automated proposal drafting, and deal management tools.

AgentDeal reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, database, or content, with reasonable notice to users when practicable. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

3. User Accounts

To access certain features of the Service, you must register for an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.
• Immediately notify us at legal@agentdeal.io if you discover any unauthorized use of your account.

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect fraud, abuse, or security concerns.

You should consult with qualified professionals before making any legal or business decisions based on AI-generated content from the Service.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Engage in fraud, deception, or misrepresentation in negotiations.
• Harass, threaten, or intimidate other users or individuals.
• Attempt to gain unauthorized access to other users' accounts or our systems.
• Use the Service to generate spam, phishing, or malicious content.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools or bots to access the Service outside of its intended functionality.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to negotiate terms that are illegal or involve illegal activities.
• Impersonate any person or entity or misrepresent your affiliation.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this policy, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

6. Payment Terms

AgentDeal offers the following subscription plans:

All paid subscriptions are processed through Stripe, Inc. and are subject to Stripe's terms of service. By subscribing to a paid plan:

• You authorize us to charge the applicable fees to your payment method.
• Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
• We offer a 14-day money-back guarantee on all paid plans. If you are not satisfied, contact us within 14 days of your initial purchase for a full refund.
• Price changes will be communicated via email at least 30 days before taking effect.
• Downgrading to a lower-tier plan takes effect at the end of your current billing period. Upgrades take effect immediately with prorated billing.

7. Intellectual Property

The Service and its original content (excluding user content), features, and functionality are and shall remain the exclusive property of AgentDeal and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of AgentDeal.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business use, subject to these Terms.

8. User Content

"User Content" means any data, text, negotiations, proposals, documents, or other materials you submit, upload, or create through the Service. You retain all ownership rights in your User Content.

By submitting User Content to the Service, you grant AgentDeal a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and store your content solely for the purpose of providing the Service to you, including processing your data through AI models to generate negotiation outputs.

You represent and warrant that you have all rights necessary to grant us the license described above, and that your User Content does not violate any third party's intellectual property or other rights.

AgentDeal does not claim ownership over your User Content and will not share it with third parties except as described in our Privacy Policy or as necessary to provide the Service.

9. Limitation of Liability

You agree to defend, indemnify, and hold harmless AgentDeal and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, and settlements including, without limitation, reasonable legal and accounting fees arising from or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any rights of another party, including any intellectual property rights.
• Your User Content, including any reliance on AI-generated outputs in negotiations.

AgentDeal reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with AgentDeal's defense of such claim.

11. Termination

You may terminate your account at any time by contacting us or through your account settings. Upon termination:

• Your right to use the Service will immediately cease.
• We will delete your account data in accordance with our Privacy Policy and applicable data retention policies.
• If you have an active paid subscription, you will not receive a refund for the remaining billing period except as provided in our 14-day money-back guarantee.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Dispute Resolution

You agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service informally by contacting us at legal@agentdeal.io. We will attempt to resolve the dispute within 30 days.

If the dispute is not resolved within 30 days, either party may proceed with formal dispute resolution. Any claims arising out of or relating to these Terms or the Service must be brought in the courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the State of Delaware and the United States District Court for the District of Delaware.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on our website and sending a notification to the email address associated with your account. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the revised Terms.
